ReconCore Terms of Service

Last updated: 2026-05-26

Welcome to ReconCore ("ReconCore", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the ReconCore platform, including all related applications, services, dashboards, and APIs (collectively, the "Service"). By creating an account, accepting these Terms, or otherwise accessing the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent.

1. Beta Software

The Service is currently offered as private beta software. Features may change, be removed, or behave unexpectedly. You acknowledge that the Service is provided "AS IS" and "AS AVAILABLE" during the beta period, without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

2. No Guarantee of Accuracy

ReconCore is a workflow and review platform. We do not guarantee:

  • the uninterrupted availability of the Service,
  • the completeness or accuracy of any data extraction, calculation, tie-out, balance, or reconciliation produced by the Service,
  • that all discrepancies, exceptions, missing items, or accounting errors will be detected, or
  • that uploaded source documents are interpreted correctly.

3. User Responsibilities

You are solely responsible for:

  • reviewing and validating every reconciliation, supporting balance, Trial Balance upload, and tie-out produced by or with the Service,
  • exercising independent accounting and professional judgment for any decision made using output from the Service,
  • maintaining appropriate internal controls, segregation of duties, and review procedures, and
  • ensuring that your use of the Service complies with all applicable laws, regulations, professional standards, and contractual obligations.

The Service is not a substitute for a licensed accountant, controller, auditor, or professional accounting judgment.

4. Acceptable Use

You agree not to:

  • attempt to access data or accounts you are not authorized to access,
  • reverse-engineer, decompile, or interfere with the Service's security,
  • upload malicious code, illegal content, or data you do not have the right to use,
  • use the Service to violate any law or third-party right, or
  • resell, sublicense, or expose the Service to third parties without our written permission.

5. Intellectual Property

All software, designs, branding, documentation, models, and other materials provided as part of the Service remain the exclusive property of ReconCore and its licensors. You retain ownership of the data you upload, and grant ReconCore a limited license to process that data solely to provide the Service to you.

6. Account Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms, suspected abuse, or to protect platform integrity. You may stop using the Service at any time.

7. Limitation of Liability

To the maximum extent permitted by law, ReconCore and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, accounting accuracy, reputational damage, or business interruption, arising out of or relating to your use of, or inability to use, the Service. ReconCore's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) US $100 or (b) the fees you paid to ReconCore in the twelve (12) months preceding the event giving rise to liability. During the beta period, fees are generally US $0.

You expressly acknowledge that all accounting, reporting, and financial decisions remain your responsibility, and that ReconCore is not liable for decisions made on the basis of output produced by the Service.

8. Data Retention

Audit history, period archives, and certain operational logs may be retained for compliance, security, and continuity purposes even after data deletion or account termination. Backups may temporarily retain deleted data until rotation. See our Privacy Policy for additional detail.

9. Security

We use commercially reasonable, best-effort security practices, including encrypted authentication, organization-scoped data isolation, role-based access, and audit logging. We do not warrant that the Service will be free from vulnerabilities, breaches, or unauthorized access.

10. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will require renewed acceptance before continued access. Continued use after a version change constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction stated in our Order Form or, if none, the laws applicable to ReconCore's principal place of business, excluding conflict-of-laws principles. [Governing law jurisdiction to be confirmed.]

12. Contact

Questions about these Terms can be directed to your ReconCore administrator or to legal@reconcore.app (placeholder).
